By registering an account, the Member agrees to these Terms and consents to the collection and use of personal information as described herein.
Eligibility & Information Accuracy
- This website is a professional wholesale platform.
- Membership is limited to:
- Licensed estheticians
- Medical clinics
- Skincare studios
- Approved distribution partners
- Members must provide accurate and truthful information at the time of registration.
- If false information, lack of qualifications, or policy violations are identified, the Company may restrict, suspend, or terminate the account without prior notice.
- The Company may request supporting documentation, including business licenses or professional certifications, to verify eligibility.
Collection & Use of Personal Information
The Company may collect and use the following personal information for service operation and legal compliance.

- Business registration information
- Professional certification (if required)

Information will be retained until account termination, and may be retained longer where required by applicable law.

Marketing Communications (Optional Consent)
Members may receive the following communications via email or SMS:

Members may opt out at any time. Marketing consent is optional and not required for platform use.
Resale & Distribution Restrictions
Without prior written authorization from the Company, Members may not:
- Sell products on third-party online marketplaces such as Amazon or eBay
- Export products outside Canada
- Resell products to unauthorized resellers or third parties
- Repackage, relabel, or alter products
- Engage in conduct that damages the brand
In the event of a violation, the Company may:
- Permanently terminate the account
- Immediately cease wholesale supply
- Initiate legal action
- Claim damages
The Member shall be liable for a minimum of $25,000 CAD per violation, or the actual damages incurred by the Company including reasonably foreseeable lost profits, whichever is greater.
Damages may include:
- Brand value impairment
- Market disruption due to pricing violations
- Distribution channel damage
- Investigation costs
- Legal fees and court costs
MAP (Minimum Advertised Price) Compliance
Members must comply with the Company’s Minimum Advertised Price (MAP) policy.
Failure to comply may result in restriction or revocation of wholesale privileges.
Intellectual Property Protection
All brand materials, product descriptions, educational content, marketing materials, and related assets are the intellectual property of the Company.
Members may not copy, distribute, modify, or create derivative works without authorization.
Disclaimer & Limitation of Liability
- The Company shall not be liable for:
- Product misuse by Members or their clients
- Skin reactions, allergies, or adverse effects
- Treatment errors by Members
- Loss of revenue or business interruption
- Indirect, incidental, special, or consequential damages
- Third-party claims
- Shipping delays, customs issues, or transportation incidents
- Force majeure events including government regulation, natural disasters, or labor disruptions
- The Company makes no express or implied warranties regarding commercial success or fitness for a particular purpose.
- To the maximum extent permitted by applicable law, the Company’s total liability shall not exceed the amount paid by the Member for the product in dispute.
- These limitation and disclaimer provisions shall survive termination of this agreement.
Governing Law & Jurisdiction
These Terms shall be governed by the laws of the Province of Alberta, Canada.
All disputes arising from or relating to these Terms shall be resolved exclusively in the courts of Alberta.
